He uses his business and finance background to clearly and thoroughly counsel clients, who appreciate his practical advice and creative solutions to complex issues. He is passionate about being a dealmaker and getting the most value for his clients.

Jonathan is a big sports fan and played numerous sports growing up, including football at the University of Alabama at Birmingham. It is through sports that he developed the leadership skills and team-first mentality that serve him well in making deals happen today.

Area of Legal Concentration

Jonathan represents companies, business owners, and investors in corporate transactions and general corporate matters, including mergers and acquisitions, venture capital, private equity, and governance. His experience spans from start-up and emerging companies to established global corporations across a variety of industries, including healthcare, retail, software and technology, finance, and utilities.

In his M&A practice, Jonathan represents both buyers and sellers in negotiating and drafting deal documents as well as analyzing and resolving complex issues to mitigate the risks to his clients and close their transactions. 

In venture capital and private equity transactions, Jonathan advises both companies and investors in transactions involving controlling interests as well as minority stakes in a company. He uses his understanding of his client’s business and outlook to negotiate and draft agreements protecting their interests and ensuring they receive the full value of their deal.

Jonathan also advises on governance issues within different business entities, including corporations, LLCs, and limited partnerships. He counsels companies, directors, managers, and owners on their rights and responsibilities to ensure they are compliant with applicable law and operating in accordance with their governing documents, which he has extensive experience preparing as well.
